By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.
2. Access and Eligibility
The Service is intended for professional and business use only. You represent that you have the legal authority to act on behalf of the company or organization you represent.
We reserve the right to suspend or deny access to the Service at any time, particularly in the event of a breach of these Terms.
3. User Accounts
Accurate information: You agree to provide accurate, current and complete information when creating your account and to keep it up to date.
Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use of your account. Sharing login credentials with third parties is prohibited and may result in immediate suspension.
Mobile phone verification: A valid mobile phone number is required at registration and must be verified by SMS. Each phone number may only be associated with a single account. Your mobile number is used for identification and account security purposes and may not be shared across multiple accounts.
You authorize your mobile carrier to disclose your mobile account details for the purpose of verifying your identity. Those details may include your name and address.
4. Plans, Billing and Payments
Monthly subscription: Subscription fees are billed monthly according to the chosen plan, in Canadian dollars, taxes extra. The service fee is a percentage of the transaction volume processed, according to the plan.
Price changes: Prices may change with 30 days’ notice, given by e-mail or on the Site.
Invoices and due date: Each invoice is due immediately upon issuance. Each monthly invoice includes the base fee for the current month according to your plan, as well as the usage fees accrued during the previous month.
Failed payments and escalation: If a payment fails, we will automatically retry every 7 days. You will be notified by email after each failed attempt. If the payment remains unpaid for more than 30 days, the following escalation applies:
- Day 30: Your account will be placed in restricted mode. Certain features will no longer be accessible or limits will be imposed.
- Day 45: Your account will be suspended. Your services will no longer be accessible.
- Day 60: Your account will be terminated. All service data will be permanently deleted with no possibility of recovery.
You will receive an email notice before each escalation step. You may resolve the situation at any time by updating your payment method and settling the outstanding balance.
Payment disputes: If you initiate a payment dispute (chargeback) with your bank, the affected account will be immediately suspended pending resolution. If the dispute is resolved in our favor, the account will be reinstated. If the dispute is resolved in your favor, the account will remain suspended until any outstanding balance is settled.
Refunds: We do not issue refunds for partial months or unused services, except where required by applicable law.
5. Permitted Use and Prohibited Conduct
You agree to use the Service only:
- in compliance with all applicable laws and regulations;
- to manage, view, or analyze data related to your use of AzimutPOS services;
- without attempting to access unauthorized systems, accounts, or data.
You agree not to use the Service to:
- (a) upload, transmit or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene or otherwise objectionable;
- (b) upload, transmit or process any content that infringes intellectual property rights, privacy rights or other legal rights of third parties;
- (c) upload, transmit or process child sexual abuse material or any sexualized depiction of minors — such conduct constitutes grounds for immediate account termination and referral to the competent authorities;
- (d) abuse or circumvent API rate limits, session limits or image limits through automated means, multiple accounts or any other method;
- (e) use the Service in any manner that could disable, overburden, damage or impair it;

The Service may display business, operational, or transactional data. You retain ownership of your data.
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
7. Availability and Changes
While we strive to ensure availability of the Service, we do not guarantee uninterrupted or error-free access.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
8. Account Termination and Suspension
User-initiated deletion: You may delete your user account at any time from your account settings. Account deletion is subject to a 30-day grace period during which your data is retained and the deletion can be cancelled. After this grace period, your account and all associated data are permanently deleted.
Client account deletion: You may delete a client account immediately or schedule its deletion at the end of the current billing month. The deletion of a client account is permanent and cannot be cancelled. Upon deletion, a final invoice will be generated for any remaining residual charges (usage fees accrued and not yet invoiced). Terminating the service does not exempt the client from paying this final invoice.
Suspension for violations: We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms. Grounds for immediate suspension include, but are not limited to: sharing of login credentials, uploading illegal content, API abuse, non-payment and payment disputes (chargebacks).
Non-payment escalation: Unpaid invoices are subject to the gradual escalation process described in Section 4 (Plans, Billing and Payments). This process includes automatic payment retries, account restrictions, suspension and eventual account termination. You will receive email notifications before each escalation step.
Administrative deletion: We reserve the right to delete any user account and all associated resources at our discretion. If a user owns teams shared with other users, ownership will be transferred to the longest-standing member before deletion.
Inactivity: Accounts that remain inactive for 6 consecutive months may be automatically deactivated. You will receive a notice before deactivation. Deactivated accounts that are not reactivated within 30 days may be permanently deleted.
Effect of termination: Upon termination, your right to use the Service ceases immediately. We have no obligation to retain your data after termination, subject to our data retention policy.
9. Intellectual Property
Our intellectual property: The Service, including its software, design, trademarks and content, belongs to AzimutPOS and its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive and non-transferable license to use the Service in accordance with these Terms.
Your content: You retain ownership of any content you upload or transmit through the Service. By using the Service, you grant us a limited license to process and transmit your content solely to the extent necessary to provide the Service.
Feedback: If you provide comments or suggestions regarding the Service, we may use them without restriction or compensation.
10. Limitation of Liability
Liability cap: To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to AzimutPOS during the 6 months preceding the event giving rise to the claim.
Exclusion of indirect damages: In no event shall AzimutPOS be liable for any indirect, incidental, special, exemplary or consequential damages, including loss of profits, data, business or goodwill, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless AzimutPOS from any claims, liabilities, damages, or expenses arising from your use of the Service or violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the Province of Québec and the laws of Canada applicable therein, without regard to conflict of law principles. Any dispute will be brought before the courts of Québec.
